Setting up an LLC - where to start

Hey all
I'm moving to Chile with my Chilean husband later this month and on arrival we are setting up a tourism/events company. The company is a partnership with limited liability (LLC).

Whilst we won't have any visa issues to sort first, as the company is in my husbands name, neither of us are familiar with the length of time or cost of setting the company up. We don;t want to pay agents to do it on our behalf so if anyone has been in a similar situation and has any advice I'd really appreciate it.

You will need a lawyer.... chilean lawyers are not expensive, i suggest contacting spencer global whos details are at the bottem of this page!

Only a Lawyer can Gazette (I use that term) the company, so you need one.

Ask the Admin, that’s his business.

And you can be a partner in the Company day one, you don’t need a visa to own 100% of a Chilean Company, so your visa status is irrelevant where the company is concerned.

Creating and running an entity in Chile is far more costly and time-consuming than in the US, FYI. I would seriously consider the costs, including time and brain damage, before pulling the trigger. Might be worth it, but the threshholds are higher than up North.

Your going to need a lawyer not matter how you cut it. The good news, as your husband is a Chilean. One of the biggest hassles / risks foreigners face in Chile in setting up a company is the legal representive problem that requires a chilean citizen or full permanent resident to act as the legal rep.

For clarity. The legal representive of a company does not need to be a lawyer, but a lawyer can act as a legal representive. The terms are a bit confusing to foreigners.

Yes even a company you own 100% of needs a legal rep who is as the Admin noted a Chilean or permanent resident with RUT. You just limit their powers through the “articles of incorporation”. The Lawyer will explain it to you, also be careful who is a bank signing authority and what they can sign for, this is much touchier than in the North.
